1. Definitions

Terms not defined elsewhere in the Agreement will have the meanings below:

"Agreement" means these Terms, plus the Privacy Policy, any Order Form, and any other documents incorporated by reference.

"Business User" or "Studio" means yoga studios, fitness centers, or wellness businesses using Open to manage their operations.

"End User" or "Student" means individuals who book classes through studios using Open.

"Platform" means Open's cloud-based software, including web app, mobile apps, APIs, and associated technology.

"Services" means all products and services provided by Open, including subscriptions, features, and support.

"Subscriber Data" means all information, materials, and content (including End User data) entered, uploaded, or transmitted through the Platform by or for a Studio.

"Document" means content uploaded or made available by a Studio for review, acceptance, or signature through the Platform.

"Document Recipient" means an individual invited by a Studio to review, accept, or sign a Document, whether or not that individual has an Open account.

"Acceptance Record" means the electronic record created when a Document Recipient takes an action concerning a Document. It may include the recipient's name and email address, the date and time of the action, IP address, browser or device information, request status, Document title and version, and a completed copy or certificate.

"Confidential Information" means nonpublic information designated as confidential or that should reasonably be understood as confidential, including the Platform, pricing, and Subscriber Data.

"Fees" means subscription fees, transaction fees, and any other amounts owed under this Agreement.

"Order Form" means our quote or online ordering document accepted by you to purchase Services.

"Term" means the Initial Term plus any Renewal Terms.

"Authorized User" means Studio's employee, its Affiliate's employee, or a permitted third-party agent for whom Studio creates a unique username and password under its Open account.

"Documentation" means the documentation, in all forms, relating to the Open Offerings, as such documentation may be revised from time to time and as made available by Open.

"Hardware" means the computer equipment, point-of-sale terminals, or other technical hardware used to access the Platform.

"Intellectual Property Rights" means all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered.

"Professional Services" means consulting, advanced training, implementation or technical support services provided by Open to Subscribers, as set out in the Order Form or in a separate contracting document (such as a Statement of Work).

Excessive usage may incur additional charges or require plan upgrade.

4.6 Electronic Document Signing and Acceptance

Open provides technical tools that allow Studios to upload and send Documents, allow Document Recipients to review and act on those Documents, and create records of the actions taken.

The relevant Document or agreement is between the Studio and the Document Recipient or other parties identified in it. Open is not a party to that Document or agreement and does not provide legal advice concerning its content, suitability, validity, or enforceability.

The Platform creates an electronic Acceptance Record. Unless Open expressly states otherwise, it does not provide an advanced or qualified electronic signature, qualified electronic timestamp, trust service, notarisation, witnessing service, or independent identity-verification service.

Applicable law may prevent an electronic signature from being denied legal effect solely because it is electronic. However, the legal effect and evidential value of a particular method, and any requirements concerning identity, form, witnessing, notarisation, or signature level, depend on the Document, the parties, and the applicable jurisdiction.

The Studio is responsible for determining whether the functionality is appropriate for the intended Document and whether additional formalities or verification are required. Studios should obtain independent legal advice where necessary.

Studio Responsibilities

A Studio using the Platform to send Documents must:

A Studio must not use the Platform to distribute unlawful, fraudulent, misleading, abusive, or unsolicited Documents, or Documents containing malicious software.

Recipient Responsibilities

Access links are intended for the named recipient and must be kept confidential. Anyone who obtains access to a valid link may be able to view or act on the associated Document.

A Document Recipient must not forward or share an access link, impersonate another person, or act on behalf of another person without proper authority. Suspected unauthorised access must be reported promptly to the Studio.

Recipients are responsible for reviewing the Document before taking an action and for contacting the Studio if its content, recipient information, or purpose is incorrect or unclear.

Records and Completed Copies

When a recipient acts on a Document, Open may record the recipient information, request status, date and time, IP address, browser or device information, and Document version. Open may use this information to create an Acceptance Record, certificate, or completed copy.

A completed copy may be delivered to the recipient and made available to the Studio. Studios and recipients should retain any copies required for their own legal, regulatory, or operational purposes.

Open does not guarantee that an email will be delivered, that a recipient will control the email address used, or that a Document will remain available indefinitely. Copies downloaded, forwarded, or received by email are outside Open's control.

Document Disputes

Disputes concerning a Document's content, the authority or identity of a party, consent, capacity, validity, performance, or enforceability are primarily matters between the Studio, the Document Recipient, and any other parties to the Document.

Open may provide available technical records where legally permitted but does not adjudicate these disputes or determine whether a Document is legally enforceable.

Retention

Open stores Document templates, Document requests, completed Documents, and Acceptance Records on the Studio's instructions until the Studio requests their deletion or the information is no longer necessary for the purpose for which it was collected.

Open may retain certain information for longer where required by law or reasonably necessary to establish, exercise, or defend legal claims, resolve disputes, prevent fraud, maintain Platform security, or enforce these Terms.

The Studio is responsible for establishing an appropriate retention period and instructing Open when deletion is required.

7. Data Processing Agreement

7.1 Data Controller and Processor Roles

For student booking data and personal data processed in connection with Documents solely to provide the Services on a Studio's instructions:

Open acts as an independent data controller for limited information where it determines the purposes and means of processing for Platform security, fraud prevention, legal compliance, service administration, and the establishment, exercise, or defence of legal claims, as described in our Privacy Policy.

For cross-studio user accounts:

7.2 Your Instructions to Us

By using Open, you instruct us to:

7.2A Document-Related Processing Details

Document-related processing may include the collection, recording, organisation, storage, retrieval, transmission, and deletion of Documents, recipient information, request status, timestamps, IP addresses, browser or device information, Acceptance Records, certificates, and completed copies.

The purpose of this processing is to distribute Documents, record recipient actions, provide completed copies, maintain appropriate technical records, and operate the document-related functionality.

Data subjects may include students, partners, Document Recipients, parents, guardians, representatives, and other individuals identified in a Document.

The Studio instructs Open to perform this processing for the duration of the applicable subscription and thereafter for the retention period described in these Terms or until deletion is requested, subject to applicable legal-retention requirements.
